Carmel, INDIANA (10/16/2017): Merchants Bancorp (“Merchants”) announced today the launch of its initial public offering of shares of its common stock. Merchants intends to offer 5,555,555 shares of its common stock. Merchants expects to grant the underwriters a 30-day option to purchase up to an additional 833,333 shares of its common stock. The initial public offering price is currently expected to be between $17.00 and $19.00 per share of common stock. In connection with the initial public offering, Merchants intends to list its common stock on The Nasdaq Capital Market under the ticker symbol “MBIN.”
Merchants intends to contribute a portion of the net proceeds from the offering to its bank subsidiary, and to use the remainder for general corporate purposes, which could include future acquisitions and other growth initiatives. Merchants also intends to use approximately $5.8 million to complete the pending acquisition of Joy State Bank.
Sandler O’Neill + Partners, L.P, Stephens Inc. and Raymond James & Associates, Inc. are acting as joint book-running managers for the proposed offering. SunTrust Robinson Humphrey, Inc. is acting as co-manager.
